DPay System Terms of Use

These Terms of Use are established by Tenyi SmartHub Co., Ltd. (hereinafter referred to as "the Company") to define the terms and conditions of use for the DPay sales and payment system (hereinafter referred to as the "DPay System"), which is managed and operated by the Company.

Before using the DPay System, please read these Terms of Use carefully. By using the DPay System, you are deemed to have read, understood, and agreed to comply with these Terms of Use.

Article 1: Definitions

The terms used in these Terms of Use are defined as follows:

1. "DPay" refers to the electronic currency issued and managed by the Company, which includes a DL points exchange function.

2. "Serial Code" (Redemption Code) refers to a 16-character alphanumeric code issued by the DPay System for use within the system.

3. "User" refers to an individual or entity that has purchased DPay or has obtained DPay through legally recognized means as approved by the Company.

Article 2: Scope of Application

All users who hold DPay are required to comply with these Terms of Use.

Article 3: Provision of DPay

The Company will provide DPay redemption codes through the following methods:

1. Via email.

2. Displayed on the website as an electronic redemption code.

Users must use DPay in accordance with these Terms of Use. The Company reserves the right to restrict or terminate access if users fail to comply.

Article 4: Conditions for Using DPay

1. If a user provides false information when applying for or using the DPay System, the Company has the right to immediately revoke the user's access without prior notice.

2. The Company shall not be liable for any losses resulting from the revocation of access or the invalidation of the DPay balance, nor shall any compensation be provided.

Article 5: Purchase and Use of DPay

1. Users may purchase DPay through the Company's designated website.

2. Purchased DPay will be automatically converted into "POINT (viviON Points)" for use on the DLsite platform.

3. The exchange rate is 1 Japanese Yen = 1 viviON Point, which can be used to purchase products on DLsite or redeem digital content.

4. The maximum amount of DPay that can be exchanged at one time is 30,000 points (equivalent to 30,000 JPY).

Article 6: Reissuance of Redemption Codes

The Company does not reissue lost or damaged redemption codes under any circumstances.

Article 7: Refund Policy

1. The Company does not accept any refunds, except in cases required by law or specially approved by the Company.

2. Once converted into viviON points, DPay is non-refundable.

Article 8: Available Balance

1. Users may only use the DPay System within their available balance.

2. Users can check their DPay balance through the Company's designated procedures.

3. If a user holds multiple redemption codes, the balance for each redemption code will be calculated separately.

Article 9: Expiration Date

1. DPay is valid for 6 months from the date of purchase.

2. After the expiration date, DPay will automatically become invalid, and regardless of the remaining balance, refunds or compensation will not be provided.

Article 10: Management of DPay

1. Users are responsible for keeping their redemption codes secure and must take precautions to prevent third parties from accessing them.

2. The Company shall not be responsible for any losses resulting from theft, loss, or user negligence.

Article 11: Elimination of Anti-Social Forces

1. If a user is found to be associated with organized crime groups, violent organizations, or other illegal entities, the Company reserves the right to immediately freeze the user's account and DPay balance.

2. The frozen DPay balance will become invalid, and no refunds or compensation will be provided.

Article 12: Disclaimer

The Company reserves the right to suspend or restrict a user's DPay (balance or redemption codes) if any of the following apply:

1. The user has obtained DPay through fraudulent or unauthorized means.

2. The user violates these Terms of Use.

3. A request or order is received from law enforcement or government authorities.

4. The user engages in fraudulent activities involving DPay.

5. Any other situation that the Company deems inappropriate.

The Company shall not be liable for any losses or damages resulting from the suspension or invalidation of DPay, nor will it provide any compensation.

Article 13: System Suspension or Interruption

1. The Company may suspend or interrupt the DPay System due to system maintenance, technical issues, natural disasters, communication failures, or other unavoidable circumstances.

2. Users may not claim any compensation for such suspensions or interruptions.

Article 14: Termination of the DPay System

1. The Company reserves the right to partially or completely terminate the DPay System, depending on changes in social conditions, legal revisions, or business decisions.

2. If the Company decides to terminate DPay, it will provide prior notification on the official website and details on how to proceed.

Article 15: Limitation of Liability

1. In the event of a loss due to the Company's negligence, the Company's liability shall be limited to the user's available DPay balance at that time.

2. The Company is not liable for indirect damages, special damages, or business losses, except in cases of gross negligence or willful misconduct.

3. If a user violates these Terms of Use and causes damage to the Company or third parties, the user shall bear full responsibility for compensation.

Article 16: Governing Law and Jurisdiction

In the event of a legal dispute arising from these Terms of Use, the courts at the Company's headquarters location shall have exclusive jurisdiction.

Article 17: Amendments to These Terms

1. The Company reserves the right to amend these Terms of Use and will announce changes on its official website in advance.

2. Users who continue to use the DPay System after changes take effect are deemed to have accepted the revised terms.

3. The revised terms will also apply to DPay that was purchased before the amendment but not yet redeemed.

Effective Date

These Terms of Use shall take effect from 2025/03/01.
